Terms of Service

Welcome to TCE.

These Terms of Service (“Terms”) govern your access to and use of the TCE platform, including any website, mobile application, marketplace features, social features, content feeds, messaging systems, subscriptions, and related services (collectively, the “Platform”). The Platform is operated by TCE Group, Inc. (“TCE,” “we,” “us,” or “our”).

By accessing or using the Platform, creating an account, listing an item, purchasing an item, or otherwise using any portion of the Platform, you agree to be bound by these Terms and all policies incorporated by reference. If you do not agree to these Terms, you may not access or use the Platform.

1. Platform Role

TCE operates a marketplace and social commerce platform that enables users to discover, list, buy, sell, negotiate, and interact around collectibles and related items.

For most transactions on the Platform, TCE provides technology, payment, discovery, communication, trust, and transaction-support tools that facilitate transactions between independent buyers and sellers. In those user-to-user transactions, TCE is not the buyer or seller of the item and is not a party to the underlying sale agreement between users.

Unless expressly stated otherwise in writing, TCE does not take ownership or possession of user-listed items, does not authenticate items, does not guarantee authenticity, condition, grading, legality, value, delivery, or transaction outcomes, and does not act as a bank, escrow company, auctioneer, insurer, grading authority, or appraisal service.

TCE may provide listing tools, feeds and discovery systems, offer tools, structured communication tools, payment integrations, verification systems, trust indicators, dispute assistance, shipping-related features, seller tools, subscriptions, and other marketplace services. These tools are provided to facilitate transactions and improve trust, but they do not make TCE a party to user-to-user transactions.

Individuals affiliated with TCE, including founders, employees, contractors, moderators, advisors, or partners, may use the Platform in their personal capacity as buyers or sellers. Such individuals act solely as Platform users unless a listing or transaction clearly identifies TCE as the buyer or seller.

2. TCE Direct, Official Accounts, Shop, and Consignment

TCE may operate official accounts, sell items directly, purchase items from users, offer consignment services, operate a TCE Shop, provide curated inventory, run promotional drops, or participate in other direct commerce programs (collectively, “TCE Direct Transactions”).

When TCE is the buyer, seller, consignor, consignee, or direct transaction party, that role will be identified through the applicable listing, account, program, flow, or transaction materials. TCE Direct Transactions may be subject to additional or different terms, including separate refund, shipping, consignment, buylist, shop, or promotional terms disclosed at the time of the transaction.

Except where TCE is expressly identified as a transaction party, transactions on the Platform are user-to-user transactions between independent buyers and sellers.

3. Eligibility

The Platform is intended for users located in the United States who are at least 18 years old. By using the Platform, you represent and warrant that you are at least 18 years of age, are legally capable of entering into binding agreements, are located in the United States, are not prohibited from using the Platform under applicable law, and will comply with all applicable laws, regulations, and Platform policies.

TCE may limit or restrict access to certain jurisdictions, transaction types, categories, users, or features at any time.

4. Accounts

To access certain features of the Platform, you must create an account. You agree to provide accurate and current information, maintain the security of your login credentials, keep your contact, shipping, tax, and payout information up to date, and accept responsibility for activity occurring under your account.

You may not create accounts using false or misleading information, create multiple accounts to evade restrictions or enforcement, share accounts with unauthorized users, or transfer or sell accounts without authorization.

TCE reserves the right to suspend, restrict, or terminate accounts at any time for security, fraud prevention, policy enforcement, operational, legal, compliance, payment processor, or business reasons.

5. Marketplace Listings and Transactions

Sellers are solely responsible for the accuracy of listings, ownership of listed items, legality of listed items, authenticity, condition, pricing, shipping, fulfillment, and compliance with applicable laws and Platform policies.

Buyers are solely responsible for reviewing listings carefully prior to purchase, evaluating seller information and trust indicators, asking permitted structured questions prior to purchase when additional information is needed, and determining whether to complete a transaction.

TCE does not guarantee item authenticity, item condition, grading accuracy, grading outcomes, future grading potential, investment value, future market value, delivery, seller performance, buyer performance, or transaction success. All transactions involve risk and are conducted at users’ own discretion.

6. Listing Content and User Content

Users are responsible for all content they upload or submit to the Platform, including photos, videos, titles, descriptions, prices, messages, profile information, reviews, comments, listing metadata, and other materials (“User Content”). Listings must accurately represent the actual item being sold, disclose known material defects or alterations, use images that reasonably depict the item offered, and comply with applicable laws and Platform policies.

TCE maintains a zero-tolerance policy for objectionable, harassing, fraudulent, or harmful content. You agree that TCE may use automated tools or human moderation to review, flag, or remove User Content at any time. TCE provides built-in tools within the mobile application allowing users to block abusive accounts and report objectionable content immediately to platform administrators.

Users retain ownership of their User Content, but grant TCE a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, promote, and otherwise use such User Content in connection with operating, improving, marketing, and providing the Platform and related TCE services.

You represent and warrant that you have all rights necessary to submit User Content and that your User Content does not violate any law, infringe third-party rights, or violate these Terms. TCE may remove, moderate, restrict, suppress, or modify the display of User Content at its discretion.

7. AI-Assisted Features and OCR Tools

TCE may provide automated tools, AI-assisted listing suggestions, OCR systems, pricing guidance, metadata extraction, categorization systems, image analysis, or similar features.

These tools are provided for convenience only. Users acknowledge that automated suggestions may be inaccurate, incomplete, delayed, or unavailable. OCR systems may incorrectly identify cards, sets, grades, card numbers, certification details, sealed products, lots, or other item information. Pricing guidance may be incomplete, inaccurate, delayed, or not reflective of current market conditions.

Sellers remain solely responsible for reviewing, correcting, and confirming all listing information before publishing or completing a transaction. TCE makes no warranties regarding the accuracy of AI-generated, OCR-generated, or automated outputs.

8. Offers and Negotiation Features

The Platform may allow buyers and sellers to submit offers, counter offers, accept offers, reject offers, receive offer-related notifications, and view offer-related signals.

Offers are generally non-binding until the seller accepts the offer and the buyer successfully completes payment, unless otherwise stated in the applicable transaction flow. TCE may limit offer frequency, restrict abusive negotiation behavior, display aggregate offer activity or engagement signals, and remove fraudulent, manipulative, or abusive offer activity.

Public or visible offer counts and engagement signals are informational only and do not guarantee purchase intent, transaction completion, or item value.

9. Messaging, Exchanges, and Platform Communications

The Platform may include messaging, exchange, or structured communication features. These tools are intended to support Platform transactions, not to facilitate off-platform transactions or open-ended solicitation.

Users may not use Platform communications to harass or threaten other users, share external payment information for fee avoidance, solicit off-platform transactions, circumvent Platform systems, or otherwise violate these Terms.

TCE may restrict communication functionality, monitor reports of abuse or fraud, review communications where reasonably necessary for safety, compliance, fraud prevention, dispute resolution, or enforcement purposes, and use automated systems or moderation tools to detect spam, fraud, policy violations, or abusive conduct.

10. Off-Platform Transactions and Fee Circumvention

Users may not circumvent or attempt to circumvent TCE’s fees, payment systems, buyer protections, seller protections, trust systems, or transaction processes.

Prohibited conduct includes redirecting users to Instagram, Discord, Facebook, external marketplaces, websites, private groups, external payment apps, direct bank transfers, crypto wallets, or other off-platform channels to complete a transaction that originated on or through TCE. Users may not share external payment information, ask another user to cancel and pay externally, use Platform communications to avoid fees, use profile or listing content to solicit off-platform transactions, or include package inserts, QR codes, business cards, discount offers, links, or other materials that encourage TCE users to transact outside the Platform.

Violations may result in content removal, restricted communications, held funds, fee recovery, loss of seller privileges, account suspension, permanent termination, or other enforcement actions.

11. Feed, Visibility, Activity Signals, and Sold Data

TCE may display listings, profiles, seller information, sold items, sold prices, sales activity, offer counts, listing activity, engagement signals, seller statistics, trust indicators, saved items, follows, and other marketplace activity within feeds, profiles, search results, product pages, marketing materials, or other Platform areas.

TCE may rank, recommend, boost, suppress, rotate, recycle, feature, or otherwise organize content algorithmically, manually, or through a combination of methods. TCE does not guarantee visibility, exposure, ranking, engagement, sales, search placement, feed placement, or transaction volume.

By using the Platform, users acknowledge that certain transaction and activity information, including sold prices and listing activity, may be displayed publicly or within the Platform to support marketplace transparency, pricing context, trust, discovery, and user experience.

12. Verification, Badges, and Trust Signals

TCE may offer identity verification, seller verification, badges, scores, rankings, sales counts, reviews, trust indicators, or similar features (“Trust Signals”). Trust Signals are informational only and do not guarantee authenticity, condition, transaction success, user reliability, or fraud prevention. Trust Signals do not constitute endorsements or warranties by TCE and may change, be removed, or be modified at any time.

Unless expressly stated otherwise in writing, TCE does not authenticate items, verify grades, certify collectibles, appraise value, or provide investment advice. Users remain responsible for conducting their own due diligence.

13. Payments, Fees, Seller Debits, and Payouts

Payments are processed through third-party payment processors such as Stripe. By using the Platform for transactions, you agree to comply with all applicable payment processor terms and requirements, including any connected account terms that apply to sellers.

TCE may charge transaction fees, platform fees, payment processing fees, shipping-related fees, service fees, promotional fees, penalty fees, or other disclosed charges. Applicable fees will be disclosed or made available where required. TCE does not store full payment card information.

By selling on TCE, sellers authorize TCE and its payment processors, where permitted by law and payment processor rules, to withhold, offset, reverse, recover, or debit amounts owed from current payouts, future payouts, Platform balances, connected Stripe accounts, connected payment accounts, or other available payment methods. Amounts owed may include refunds, chargebacks, chargeback fees, return shipping costs, buyer credits, no-ship or non-fulfillment fees, cancellation fees, fraud-related losses, policy violation costs, negative balances, payment processor fees, or other amounts owed under these Terms or applicable policies.

TCE may delay payouts, place holds or reserves on funds, reverse transactions where permitted, restrict payout access, or recover amounts owed for fraud prevention, disputes, chargebacks, risk management, legal compliance, operational protection, delivery confirmation, verification requirements, or payment processor requirements. Payout timing may vary based on seller status, verification status, transaction history, risk review, delivery confirmation, and payment processor rules.

14. Seller Non-Fulfillment, No-Ship, and Cancellation Fees

Sellers are expected to fulfill completed sales in accordance with the Seller Policy and any applicable shipping requirements. Failure to ship, failure to provide required tracking, seller-initiated cancellation, repeated cancellations, refusal to honor completed transactions, or failure to respond after a sale may result in enforcement action.

TCE reserves the right to impose non-fulfillment, no-ship, cancellation, or related fees in cases involving repeated, high-value, clearly avoidable, abusive, or bad-faith seller failure to fulfill obligations. TCE may also recover refunds, buyer credits, chargebacks, shipping costs, payment processor costs, investigation costs, and other losses caused by seller conduct from current or future payouts or connected payment methods where permitted.

15. Memberships and Subscriptions

TCE does not currently offer paid memberships at launch. TCE may introduce memberships or subscriptions in the future, subject to additional disclosures and terms.

16. Shipping and Fulfillment

Sellers are responsible for shipping sold items within the timeframe required by the Seller Policy or applicable transaction flow. Unless otherwise stated by TCE, sellers must ship and provide valid tracking within three (3) business days of a confirmed sale when tracking is required or used.

Sellers must package items securely and appropriately and comply with any Platform shipping requirements. TCE may require tracking, delivery confirmation, signature confirmation, or other reasonable shipment safeguards for certain items, transaction values, categories, sellers, or risk levels.

Shipping carriers, transit times, delays, losses, damage, misdelivery, and delivery issues may be outside TCE’s control. TCE does not guarantee carrier performance, delivery timelines, shipment safety, or delivery outcomes.

Shipping options, package requirements, untracked-shipping limitations, buyer risk acknowledgments, shipping caps, grace periods, and cancellation rights are further governed by the TCE Shipping Policy.

17. Taxes

Users are responsible for determining, reporting, and paying any income, business, or other taxes arising from their use of the Platform, including sales or income from transactions where applicable.

TCE may act as a marketplace facilitator to calculate, collect, and remit applicable sales tax directly from the buyer at checkout. TCE may provide tax forms, including Form 1099-K or successor forms, where required by applicable law or payment processor rules.

TCE does not provide tax, legal, accounting, financial, or investment advice. Users should consult their own advisors regarding tax obligations.

18. Disputes Between Users

Users are encouraged to resolve disputes in good faith through the Platform. TCE may, but is not obligated to, assist with dispute resolution in accordance with Platform policies, including the Buyer Protection Policy, Seller Policy, and any applicable refund or shipping policies.

Any assistance provided by TCE is discretionary, non-binding except as applied to Platform access, subject to available evidence, and subject to payment processor rules. TCE may issue refunds, payout adjustments, return requirements, buyer credits, or other transaction-related remedies where permitted and appropriate.

Payment processor or chargeback decisions may override Platform determinations.

19. Appeals

Users may request review of certain enforcement actions by contacting TCE support. TCE may, but is not obligated to, provide an appeal process for every action. TCE’s decisions regarding account access, listing visibility, enforcement, refunds, or Platform participation are discretionary and final for purposes of Platform administration.

20. Prohibited Conduct

Users may not list counterfeit, stolen, illegal, or prohibited items; misrepresent authenticity, condition, ownership, or grading; engage in fraud or deceptive practices; manipulate reviews, trust signals, offers, prices, bids, engagement metrics, or marketplace activity; use bots, scraping tools, or unauthorized automation; harass, threaten, or abuse users or TCE staff; circumvent Platform fees or payment systems; attempt to move transactions off-platform; upload malicious code; interfere with Platform operations; evade enforcement actions; engage in money laundering; violate intellectual property or privacy rights; or use the Platform for unlawful purposes.

TCE reserves the right to investigate and take enforcement action for suspected violations.

21. Enforcement Rights

TCE may take enforcement actions at its sole discretion, including removing content or listings, limiting feature access, restricting visibility, canceling transactions, adjusting fees, holding or reversing funds, imposing limits, suspending accounts, permanently terminating accounts, reporting unlawful conduct to authorities, or taking other actions reasonably necessary to protect the Platform, users, payment systems, or TCE.

Enforcement decisions may be based on risk signals, fraud indicators, user reports, payment processor requirements, Platform integrity concerns, legal or compliance obligations, operational concerns, or business reasons. TCE is not obligated to disclose internal enforcement, ranking, moderation, fraud detection, or risk review criteria.

22. Intellectual Property and DMCA

The Platform, including its software, branding, logos, designs, interfaces, graphics, features, functionality, and original content, is owned by TCE or its licensors and is protected by copyright, trademark, and other laws.

All digital badges, seller tiers, achievements, status indicators, and marketplace icons ('Platform Tokens') are the sole and exclusive property of TCE. TCE grants you a limited, revocable, non-transferable license to display these Platform Tokens on your profile. You may not sell, trade, barter, or transfer any account, user level, or Platform Token off-platform or for real-world currency.

All third-party trademarks, trade names, product names, logos, card names, character names, artwork, and related intellectual property remain the property of their respective owners. Reference to third-party brands or products on the Platform does not imply endorsement, sponsorship, affiliation, or ownership by TCE.

Users may not upload content that infringes or violates third-party intellectual property rights. TCE may remove allegedly infringing content and may terminate repeat infringers where appropriate.

A proper DMCA notice should include the information required under 17 U.S.C. §512(c)(3). TCE may reject incomplete or improperly formatted notices.

23. Mobile App Terms; Apple App Store and Google Play

TCE grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the TCE mobile application on devices you own or control, solely in accordance with these Terms and applicable app store rules.

You acknowledge that Apple Inc., Google LLC, and their affiliates are not responsible for the Platform, do not provide maintenance or support for TCE, and are not responsible for claims related to the Platform except as required by applicable app store terms. You agree to comply with all applicable Apple App Store, Google Play, export control, sanctions, and device usage rules when using the mobile application.

24. Third-Party Services

The Platform may integrate with third-party services, including payment processors, identity verification providers, analytics providers, hosting providers, storage providers, shipping providers, AI or OCR services, app stores, and security tools.

TCE is not responsible for third-party services, systems, outages, policies, decisions, fees, delays, or actions. Use of third-party services may be subject to separate terms and policies.

25. Privacy and Data

TCE’s Privacy Policy describes how we collect, use, store, disclose, and protect information in connection with the Platform. By using the Platform, you agree to the collection and use of information as described in the Privacy Policy.

26. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, TCE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

TCE does not warrant that the Platform will be uninterrupted, error-free, secure, free of harmful components, or that listings, content, pricing, activity signals, user information, or transaction information will be accurate or reliable.

27. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TCE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THE PLATFORM, THESE TERMS, USER CONDUCT, LISTINGS, TRANSACTIONS, ITEM AUTHENTICITY, ITEM CONDITION, GRADING OUTCOMES, DELIVERY ISSUES, PAYMENT PROCESSOR ACTIONS, CARRIER ACTIONS, OR DISPUTES.

TO THE FULLEST EXTENT PERMITTED BY LAW, TCE’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT OF FEES YOU PAID TO TCE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

28. Indemnification

You agree to defend, indemnify, and hold harmless TCE, its affiliates, officers, directors, employees, contractors, agents, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Platform, your listings or transactions, your User Content, your violation of these Terms or Platform policies, your violation of applicable law, your infringement of third-party rights, or your fraud, misconduct, or negligence.

29. Informal Resolution, Arbitration, Jury Waiver, and Class Action Waiver

Please read this section carefully.

Before initiating arbitration or legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (“Dispute”) through good-faith informal negotiations with TCE for at least thirty (30) days after providing written notice of the Dispute to support@tce.gg.

If a Dispute is not resolved through informal negotiations, the Dispute shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable rules, unless otherwise required by law. You and TCE waive any right to a jury trial.

To the fullest extent permitted by law, you and TCE agree that all Disputes will be conducted only on an individual basis and not in a class, consolidated, representative, collective, or private attorney general action. You waive any right to participate as a plaintiff or class member in any purported class or representative proceeding.

Arbitration will generally take place in the jurisdiction where you reside or, if not applicable or not permitted by the applicable rules, in Delaware, unless otherwise agreed or required by law.

Nothing in this section prevents either party from seeking injunctive relief, intellectual property protection, small claims relief where permitted, or relief that cannot be subject to arbitration under applicable law.

30. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Subject to the arbitration provisions above, any non-arbitration claims or proceedings shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.

31. Termination

Users may stop using the Platform at any time. TCE may suspend or terminate access to the Platform at any time, with or without notice, for violations of these Terms, Platform policies, applicable law, payment processor requirements, security concerns, risk concerns, operational reasons, or other reasons permitted by law.

Termination does not eliminate obligations that accrued prior to termination, including payment obligations, refund obligations, dispute obligations, tax obligations, indemnification obligations, or provisions that by their nature should survive termination.

32. Changes to Terms

TCE may update or modify these Terms at any time. Updated Terms become effective upon posting unless otherwise stated. TCE may provide notice of material changes by updating the effective date, sending an email, displaying an in-app notice, or other reasonable means.

Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.

33. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any policies or additional terms incorporated by reference, constitute the entire agreement between you and TCE regarding the Platform. TCE’s failure to enforce any provision does not constitute a waiver of that provision or any other provision.

TCE may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer these Terms, or any rights or obligations under them, without TCE’s prior written consent.
